Terms of Service

These terms describe how YaysPay, operated within the Indexx ecosystem, is intended to work. YaysPay is the payment experience; USDXX is issued by an authorized issuer and banking and custody are provided by regulated partners.

1. What YaysPay is

YaysPay is a communication-powered payment network that lets you send, receive and settle USDXX digital dollars. It is not a bank, does not take deposits as a chartered bank, and USDXX is not legal tender or FDIC-insured.

Where fiat is held through a partner bank, pass-through deposit insurance may apply only if the legal structure, account records and other requirements are satisfied.

2. Your account

You must complete identity verification to hold a balance or transact. You are responsible for keeping your device, passkey and biometric authentication secure.

New accounts default to a Simple Account with custody provided by Indexx or a regulated partner. You may opt into an On-Chain Account under Advanced Settings, where you control keys or approved recovery arrangements.

3. Payments and settlement

YaysApp-to-YaysApp payments settle on an internal double-entry ledger and update immediately and atomically. External withdrawals and merchant settlements are submitted on-chain.

Protected Payments are held in a Trust Envelope and released on the condition you select — acceptance, shipment, delivery confirmation, approval, milestone or expiry.

4. Fees

Personal transfers between YaysApp users are free. Merchant payments, protected settlement, fiat redemption and cross-border conversion carry disclosed fees. Fees are shown before you confirm.

5. Prohibited use

You may not use YaysPay for unlawful activity, sanctions evasion, fraud, or to transmit funds on behalf of an undisclosed third party. We screen transactions and may block, hold or reverse activity to meet legal obligations.

6. Eligibility

You must be of legal age in your jurisdiction, provide accurate identity information, and be located in a supported region. During the closed pilot, access is limited to invited participants and transaction amounts are capped.

7. Disclaimers and liability

During the pilot, YaysPay and USDXX features are provided “as is”. USDXX is not legal tender, not a bank deposit, and not itself FDIC-insured. To the extent permitted by law, Indexx and its partners are not liable for indirect or consequential losses, and total liability is limited to the fees you paid for the affected transaction.

Nothing here limits liability that cannot be limited by law, including for fraud.

8. Privacy

Our handling of personal and transaction data is described in the Privacy Policy, which forms part of these terms.

9. Changes

As YaysPay moves from closed pilot to general availability, these terms will be replaced with final terms referencing the licensed issuer, custody partner, reserve bank and monitoring providers. Material changes will be communicated before they take effect.
